Confidentiality regarding the identity of shareholders
For centuries, Switzerland has been characterized by secrecy regarding the identity of the company's shareholders. Recently, due to the need to align with global policies regarding the prohibition of money laundering and terrorist financing, disclosure of the identity of shareholders has become mandatory.

However, tradition cannot be taken away from the Swiss, and today all that is required is to declare who the shareholders are in the company, but there is no obligation to publish the identity of the owner in the commercial register. In other words, the identity of the owner is still confidential and is kept that way at the company level.

The process of opening a company in Switzerland
Establishing a company in Switzerland is a process that follows clear steps. Foreigners are allowed to establish a limited liability company in Switzerland without residency.

Opening a company in Switzerland begins with the signing of a notarized power of attorney to open a company by a local agent. The document is then sent by courier to Switzerland for processing with a local Swiss notary. After several processes in Switzerland, the client is required to sign the application for registration in the commercial register ("handlesregister"), and again send the document to Switzerland. At this point, the company already exists legally and can begin business activity.

In Switzerland, you also do not need any European citizenship to open a company. You can open a Swiss company even if you are an Israeli citizen.

This means that you can open the company with 100% shareholding in the name of an Israeli citizen - in your name, or even in the name of an Israeli company. The director can be Israeli.

Local director or local authorized signatory

Question: What type of company in Switzerland should I open?
Answer: There are two types of companies in Switzerland:
The first type is a limited liability company (Gesellschaft mit beschränkter Haftung, or "GmbH" for short). This is the LLC.
LLCs are considered more flexible in terms of organizational structure and easier to operate on a daily basis. They are suitable for investments of various sizes.
The equity capital required here is 20,000 Swiss francs, which is about 21,500 Euro.

The second type is a "joint stock company", which is how I imagine it could be translated into Hebrew. In English this type is called a Joint Stock Company (JSC) and in Switzerland it is called Aktiengesellschaft, or AG for short.
JSC companies are generally intended for large-scale investments. As a result, they are less flexible from a legal perspective and much more formal in terms of organizational structure and ongoing operations. On the other hand, they are great for raising capital, since their shares can be issued on the Swiss stock exchange, and they can issue various types of securities.

The equity capital required for an AG is 100,000 Swiss francs, which is about 107,000 euros, with half of this amount required to be actually deposited (the other half remains as a debt to the company).

Foreign investors usually choose LLCs, i.e. companies of the first type, unless their business requires the company to be a JSC (for example, if a new bank or insurance company is planned).
